Ordinary General Meeting
of Shareholders on 28 April 1998
Paris, April 29, 1998 -- The Ordinary General Meeting of
Shareholders of Matif SA met on 28 April 1998. Shareholders approved
financial statements for 1997 setting parent company net income at
FF7.8 million and consolidated net income at FF21.1 million. The
meeting ratified the nominations as directors of Messrs. Arnaud
Barbet-Massin, Gérard Barbot, Patrick Combes and Richard
Demoulin, and appointed Cyril Le Touze and Gérald Harlin as
directors.
At the first meeting of the new Board of Directors, held after the
General Meeting, Mr. Gérard Pfauwadel resigned as Chairman and
Chief Executive Officer. The Board thanked Mr. Pfauwadel for his
contributions at the head of Matif SA over the past ten years.
The Board of Directors appointed Mr. Jean-François
Théodore,
Chairman and Chief Executive of SBF-Paris Bourse as its new Chairman
and CEO, underscoring the synergies and close ties that now exist
between the two market operators. The Board also appointed Mr. Pascal
Samaran as Deputy Chairman and confirmed Mr. Patrick Stephan, Deputy
Managing Director, in his capacity as corporate officer. Philippe
Loumeau was named Deputy Managing Director with special responsibility
for strategy and international relations. The Management Committee of
Matif SA consists of Messrs Jean-François Théodore,
Dominique Brutin, François-Guy Hamonic, Philippe Loumeau,
Pascal Samaran, Patrick Stephan and Jacques Werren.
